Terms & Conditions

By accessing or using the Motsands platform — whether as a customer placing an order, a staff member, a driver, a fleet partner or a financial service provider — you agree to be bound by these Terms and Conditions.

If you do not agree, do not use the platform. These terms form a legally binding contract between you and Motenda Ltd. ("Motsands", "we", "us", "our"), a company registered in Nigeria.

Motsands provides a technology platform that enables customers to order construction aggregates (sand, granite, laterite and related materials) for delivery to sites across Nigeria. The platform coordinates:

- Pricing and order placement
- Site inspection and access grading
- Truck dispatch and driver assignment
- Real-time delivery tracking
- Payment processing via Paystack
- Post-delivery rating and dispute resolution

We are not a quarry, a logistics company or a financial institution. We are a technology intermediary that connects buyers, suppliers, fleet partners and inspection professionals under a single accountable system.

To place an order, you must create a Motsands account. By creating an account you confirm that:

- You are at least 18 years old
- The information you provide is accurate and up to date
- You are authorised to place orders and make payments on behalf of yourself or your organisation
- You will keep your login credentials confidential

You are responsible for all activity under your account. Notify us immediately at hello@motsands.com if you suspect unauthorised access.

Business accounts (Contractor, Developer, Blockyard, Government) must provide valid CAC registration details. We reserve the right to verify and reject accounts at our discretion.

Placing an order
Orders are placed through the Motsands platform. A confirmed order is a binding request for delivery of the specified materials to the specified address.

Pricing
All prices are calculated by the platform based on material type, delivery corridor, truck type and load quantity. Prices include material cost, delivery fee and VAT at 7.5%. The price shown at checkout is the price you pay — there are no hidden charges.

Payment
Payment is processed via Paystack at the time of ordering (FULL mode), or under an agreed batch or deferred payment plan (PAY_IN_BATCH / PAY_LATER). Orders under financed payment modes require approval from our finance team and any applicable financial service provider before activation.

Cancellations
Orders may be cancelled before a truck is dispatched. Contact us at hello@motsands.com or via WhatsApp. Cancellations after dispatch are subject to a cancellation fee equal to the delivery component of the order value.

Scope
We deliver construction aggregates to sites within our active delivery corridors in Lagos State and expanding regions. Delivery availability is confirmed at the pricing stage.

Site access
You are responsible for ensuring that the delivery site is accessible to a loaded truck. A site inspection may be conducted prior to delivery. If a truck cannot access the site on arrival due to conditions not disclosed at order time, a failed-delivery fee applies.

Loads and quantities
Loads are measured by truck capacity. While we endeavour to deliver the full ordered quantity, minor variations in load weight are inherent to bulk aggregate supply. Material is loaded at the quarry gate and signed off on delivery.

Delivery windows
We provide estimated delivery windows but cannot guarantee exact delivery times. Factors including traffic, quarry queues and weather may affect schedules. We will notify you of significant delays via SMS or WhatsApp.

Proof of delivery
Drivers upload geo-tagged photos and a delivery confirmation at the point of drop-off. You or your site representative may be asked to confirm receipt in the app. Disputes must be raised within 24 hours of the marked delivery time.

Eligible refunds
You may be entitled to a full or partial refund if:
- Materials were not delivered and the order was not cancelled by you
- The delivered quantity was materially short (verified by inspection)
- The wrong material was delivered

Process
Refund requests must be submitted within 48 hours of the scheduled or actual delivery time via hello@motsands.com or the support portal. We will investigate and respond within 5 business days.

Non-refundable situations
- Cancellations after dispatch (delivery fee applies)
- Refusals of delivery at the site without cause
- Quantity disputes without supporting evidence (site photos, driver confirmation)
- Price disputes for orders placed at the confirmed checkout price

Approved refunds are processed within 7 business days to the original payment method.

For certain order types, a Motsands-appointed site inspector will visit the delivery address before or during fulfilment to assess road access, site conditions and material placement areas.

- Inspections are conducted by trained personnel to protect drivers, trucks and your site
- An ORANGE inspection grade means delivery will proceed with caution
- A RED grade means delivery cannot proceed until conditions are improved; we will notify you with the reasons
- Inspection results are logged in the platform and are final unless successfully disputed within 24 hours

Fleet partners and drivers who operate on the Motsands platform are independent contractors, not employees of Motenda Ltd. They operate under a separate Partner Agreement which governs onboarding, dispatch, payout terms and conduct standards.

Customers interact with drivers through the platform's tracking and confirmation tools. Any conduct issues with a driver should be reported through the platform or to hello@motsands.com immediately.

You agree not to:

- Use the platform for any unlawful purpose or in violation of any applicable Nigerian or international law
- Impersonate another person or entity
- Submit false order information, fake delivery confirmations or fraudulent payment details
- Attempt to access restricted areas of the platform or another user's account
- Use automated tools (bots, scrapers) to access or extract data from the platform
- Engage in any conduct that disrupts, damages or interferes with the platform

Violation of these prohibitions may result in immediate account suspension and legal action.

The Motsands name, logo, platform design, code, content and all associated intellectual property are owned by Motenda Ltd. or licensed to us.

You may not copy, reproduce, distribute, modify or create derivative works from any part of the platform without our written permission. Nothing in these terms grants you any rights in our intellectual property.

To the maximum extent permitted by Nigerian law:

- Motsands is not liable for indirect, incidental or consequential loss arising from your use of the platform
- Our total liability to you for any claim arising from a specific order is limited to the amount paid for that order
- We are not liable for delays or failures caused by events beyond our reasonable control (force majeure), including flooding, road closures, fuel scarcity or civil unrest

Nothing in these terms limits our liability for fraud, death or personal injury caused by our negligence.

We may suspend or terminate your account at any time if:

- You breach these terms
- We reasonably suspect fraudulent activity
- Your account has been inactive for 24 consecutive months

You may close your account at any time by contacting hello@motsands.com. Closure does not affect any outstanding orders, payment obligations or legal claims.

On termination, we retain your data as required by our Privacy Policy and applicable law.

These terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

We encourage you to contact us first to resolve disputes informally before initiating legal proceedings. Reach us at hello@motsands.com.

We may update these terms from time to time. Material changes will be communicated via email or a prominent notice on the platform at least 14 days before they take effect.

Your continued use of the platform after the effective date of any change constitutes acceptance of the updated terms. If you do not accept the updated terms, you must stop using the platform and close your account.
